In this curricular unit, the legal regime of commercial companies is studied from their incorporation to their extinction, in particular the general part of the commercial companies code, limited liability companies and corporations. Since commercial companies are legal persons that carry out a commercial activity and operate in the market, knowledge of their legal regime has enormous practical relevance in the exercise of legal professions.

Objectives
In this curricular unit aims to provide students with knowledge, which they want to be deep and up-to-date, on the General Part of the Commercial Companies Code, as well as on the essential characteristics of each of the corporate types provided for therein, in particular emphasis on private limited companies and corporations.

Teaching methodologies and assessment
The teaching of theUC is based on the theoretical exposition of the program,which is complemented with a practical aspect composed of the analysis of jurisprudence and resolution of hypotheses inspired by real life.In the continuous assessment,students take 1or2written tests(60%).Participation in events organized by the faculty, attendance, oral participation andquality of written expression(40%)are also assessment elements.Failure to attend70%of the theoretical and practical classes is an objective criterion for exclusion of the student from the continuous assessment,and prevents them from taking the test or, if applicable, the second continuous assessmenttest.Students with special status provided for bylaw or regulation that provides for non-obligatory attendance in classes,wishing to be in continuous assessment,must inform theUC Professor 90 days before the end of classes,so that he can define another form of work/monitoring,e.g.,writing work, presenting reports and/or an oral exam.
