Types of companies. 2.3. Legal personality of commercial companies. 2.4. Obligations and rights of shareholders. 2.5. Shareholders' resolutions. 2.6. Corporate governance. 2.7. Transformation, merger, and division of companies. Dissolution and liquidation of companies.

    Objectives

    The central objective of the course is to familiarize students with the law governing organized economic activity, with a focus on contracts, companies, and the forms of their legal organization as the central themes of the program. It is considered essential to promote skills from the perspective of their private legal regulation and the environment in which business activities operate. In the first part, the legal regime of contracts will be studied with a view to obtaining in-depth knowledge of this privileged instrument of economic collaboration. Next, commercial companies will be addressed as a privileged form of legal organization for businesses. The aim is for students to acquire skills that enable them to understand the regulatory framework governing commercial companies as well as related operations such as mergers, splits, transformations, and dissolution.

    Teaching methodologies

    The evaluation methodology is based on expository and active methods. The expository methodologies are used to transmit the basic knowledge of the curricular unit, while the active methodologies will be implemented through the performance of exercises and/or practical works where the ability of students to work in groups is stimulated, favoring the deepening of the themes in a motivating perspective their creativity and at the same time the application of the acquired knowledge.
